Atlas Terms of Service

Welcome to Atlas ("App"), a fitness tracking application operated by Atlas Ascent LLC ("Company," "we," "us," or "our"). By downloading, accessing, or using Atlas, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using Atlas, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the App. You represent that you are at least 16 years of age, and if you are under 18, that you have obtained parental or guardian consent to use the App.

2. Assumption of Risk and Release of Liability

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• Physical exercise and fitness activities carry inherent risks of injury, including but not limited to muscle strains, sprains, fractures, cardiovascular events, and in rare cases, permanent disability or death.
• You voluntarily assume all risks associated with your use of the App and performance of any exercises, workouts, or fitness activities suggested, tracked, or facilitated by the App.
• You are solely responsible for determining whether any exercise or workout is appropriate for your physical condition and fitness level.
• The Company, its officers, directors, employees, agents, and affiliates shall not be liable for any injuries, damages, or losses resulting from your use of the App.
• You hereby release, waive, discharge, and covenant not to sue Atlas Ascent LLC from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, or injury that may be sustained by you while using the App.

3. No Medical Advice

The content provided through Atlas, including workout suggestions, exercise demonstrations, AI-generated recommendations, and progress tracking, is for informational and educational purposes only. Such content does not constitute medical advice and should not be relied upon as such.

We make no representations or warranties regarding the accuracy, completeness, or suitability of any fitness information provided through the App. Individual results may vary, and we do not guarantee any specific fitness outcomes.

The App does not provide any form of medical diagnosis and is not designed to detect, treat, cure, or prevent any disease or health condition.

4. User Accounts and Responsibilities

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Termination: We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice.

5. Subscription and Payment Terms

Premium Features: Certain features of the App require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected).

Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period.

Cancellation: You may cancel your subscription at any time through your app store account settings (Apple App Store or Google Play). Cancellation will take effect at the end of the current billing period.

Refunds: All payments are processed through Apple or Google. Refund requests must be submitted directly to the store you purchased through, in accordance with its refund policies.

6. Intellectual Property Rights

All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of Atlas Ascent LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. Prohibited Conduct

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the App or its systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code
• Use any automated means to access the App or collect data
• Interfere with or disrupt the integrity or performance of the App
• Share your account credentials with any third party

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATLAS ASCENT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Atlas Ascent LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any claim that your use of the App caused damage to a third party.

10. Dispute Resolution and Arbitration

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the App shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware.

Class Action Waiver: YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Jury Trial Waiver: YOU HEREBY WAIVE YOUR RIGHT TO A TRIAL BY JURY IN ANY COURT IN ANY SUIT, ACTION, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

12. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify you of material changes by posting a notice within the App or by sending an email to the address associated with your account. Your continued use of the App following any such modification constitutes your acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Atlas Ascent LLC regarding your use of the App and supersede all prior agreements and understandings, whether written or oral.
